SPLITIT MEMORIAL DAY REWARDS PROMOTION TERMS AND CONDITIONS

Please read these Splitit Memorial Day Rewards Promotion Terms and Conditions (“Terms”) carefully.

These Terms describe a contractual relationship between you («you,» «your,» “user,”) and Splitit USA Inc. (including its subsidiaries, affiliates, agents, and assigns) («Splitit,» «we,» «us,» «our«), regarding your participation in the Memorial Day Rewards Promotion, and any other services we provide in connection therewith (“Rewards Program”).  By accessing or participating in the Rewards Program, you agree to be bound by these Terms, and our Privacy Policy, which is incorporated herein by reference.  If you do not agree to these Terms, you must discontinue your participation in the Rewards Program immediately, and you will not be permitted to access or participate in the Rewards Program.

  1. Participation in Memorial Day Rewards Promotion.  After making an eligible purchase of $800 or more at a participating U.S. merchant (“Eligible Purchase”) and pay for the Eligible Purchase with Splitit between May 28 and May 31, 2021, we will give you the opportunity to earn a reward (each a “Reward”) as described in more detail below.  Your Reward will be issued as a check in the amount of $100.  However, the first 10 shoppers to make an Eligible Purchase, complete their claim, and provide the name of the Instagram influencer from which they learned of this Rewards Program, as determined by Splitit, will receive $400, instead of $100.  You must be at least 18 years old (or the age of majority in your state) and be a U.S. resident to participate.  We will determine your eligibility to earn Rewards or participate in the Rewards Program in our sole and absolute discretion.  The Rewards Program and Rewards are provided solely for loyalty, award, and promotional purposes.
  1. How to Earn a Reward.  To be eligible to earn a Reward, you must make an Eligible Purchase and pay for the Eligible Purchase using Splitit, between May 28-31, 2021.  The date of your Eligible Purchase is the date listed on your sales receipt.  After completing your Eligible Purchase, you must claim your Reward by visiting www.splitit.com/memorial-day/, or the landing page for this Rewards Program available from the Instagram influencer from whom you learned of this Rewards Program, and follow the directions on the screen for claiming your reward.  You will be asked to enter your name and e-mail address that were used to make the Eligible Purchase for which you are requesting the Reward.  You will be contacted by Splitit or a representative, who will request your transaction or order number, and other information necessary to verify your Eligible Purchase and process your claim.  You must provide and verify all of the information that the Splitit representative requests in order to complete your claim.  You will not earn a Reward, or will forfeit your Reward, if you fail to provide all of the information that we request about your Eligible Purchase, or if Splitit or the merchant is unable to track or verify your Eligible Purchase.  You must complete your claim within 30 days of the date of your Eligible Purchase in order to be eligible to receive a Reward.

Once you complete your claim, we will mail you a check within 90 days.  Checks will be mailed to the billing address you used to complete your Eligible Purchase, unless we agree otherwise.  Please allow two additional weeks for delivery.  Checks will expire by the date listed on the check, or six months from the date the check is issued, whichever is sooner.  Reward value could be reduced by charges or fees imposed by your financial institution for cashing or depositing the check, and we are not responsible for these fees.

  1. Eligible Purchases.  Certain purchases you make with Splitit are not Eligible Purchases.  For example, your purchase is not an Eligible Purchase if (1) it is not a single purchase in the amount of $800 or more (as determined by the amount authorized and paid for using Splitit); (2) it is not made for your own personal, family or household purposes; (3) the purchase is a quasi-cash transaction (e.g., a purchase of a gift card or money order); (4) you do not pay for the full amount of the purchase using Splitit; (5) the purchase is not made at a participating merchant or merchant location; (6) your purchase is unlawful, is made for unlawful purposes, or is otherwise in violation of these Terms or the terms of your agreement with the merchant; or (7) you return, cancel, dispute, or charge back the purchase.  Additional terms, conditions, and actions required to earn Rewards on each Eligible Purchase may apply and may differ at each qualifying merchant.  You will not be paid a Reward for purchases that you return, cancel, or dispute or for purchases for which you receive a refund from the merchant or a chargeback.  Pending Rewards for purchases that you return, cancel, or dispute after you complete your claim for a Reward will be forfeited.  If the Reward has already been delivered to you and already cashed or deposited by you, you authorize us to charge the payment method you used to complete your Eligible Purchase in the amount of the Reward you received.

 

  1. Other Restrictions on Rewards.  Limit one (1) reward per household/physical address.  All accrued Rewards are considered “pending” until the check is delivered to you and you cash or deposit the check with your financial institution.  Until you cash or deposit the check, (a) Rewards have no cash value; (b) Rewards are not your property; (c) you may not transfer Rewards to any other person; and (d) Rewards may not be transferred by operation of law, such as by inheritance, bankruptcy, or in connection with a divorce.

Rewards may be cancelled, revoked, or we may decline to issue you a Reward: (a) if we believe or suspect your use of the Rewards Program is suspicious, fraudulent, or in violation of these Terms, or applicable law; (b) you are in default of any agreement you have with the merchant from whom you made the Eligible Purchase; (c) you cancel your Rewards Program participation; or (d) for any reason determined by Splitit in its sole discretion, subject to applicable law.

  1. Merchants.  When you shop with a participating merchant your transaction will occur on the merchant’s website.  All third-party merchant websites are the property of the merchant, and Splitit does not take any responsibility for any content, services, products, or activities conducted on the merchant website.  Splitit does not endorse or guarantee the products or services at qualifying merchants.  Splitit does not sell or provide any goods or purchases and all payments are made directly to the merchant when you pay or authorize payments over time through Splitit at the time of purchase.  For all questions or customer service inquiries about a merchant website, products or services, and your purchase, please contact the merchant.

If you make a purchase of goods or services at a merchant, you are subject to their terms, return policy, and privacy policy.  SPLITIT WILL NOT, UNDER ANY CIRCUMSTANCES, BE RESPONSIBLE OR LIABLE, DIRECTLY OR INDIRECTLY, FOR ANY GOODS OR SERVICES PURCHASED AT A  MERCHANT OR FOR ANY HARM, DAMAGES, OR LOSS IN CONNECTION WITH OR CAUSED BY GOODS OR SERVICES PURCHASED AT A QUALIFYING MERCHANT OR YOUR RELIANCE ON THE CONTENT, WEBSITE, OR BUSINESS PRACTICES OF A QUALIFYING MERCHANT.

  1. Amendments, Restrictions, Termination.  We may add to, terminate, and/or change the Rewards Program at any time with or without notice to you.  For example, we may change the amount of Rewards you can earn for making an Eligible Purchase, impose additional eligibility requirements such as limiting Rewards to purchases of certain products or purchases from certain merchants, impose caps on earning and/or using Rewards, change the eligibility requirements for the Rewards Program, place restrictions on or terminate your ability to earn Rewards, terminate your participation in the Rewards Program, or terminate all or parts of the Rewards Program.  We may not notify you of such changes, unless required by applicable law.  You acknowledge that in the event we make these changes, you may no longer be able to earn Rewards.

We have the right to terminate or restrict your participation and membership in the Rewards Program.  We may revoke the Rewards issued to you under the Rewards Program, and you authorize us to charge the payment method you used to make your Eligible Purchase in the amount of the Reward, if we determine, in our sole discretion, that (a) you were not eligible to receive the Rewards, (b) you engaged in abuse, misuse, or fraud in connection with the Rewards Program, or (c) you otherwise use the Rewards Program in violation of these Rewards Terms, your agreement with the merchant from which you made the Eligible Purchase, or applicable law.

  1. Fees, Taxes.  You are solely liable for any federal, state, or local taxes including making any required disclosures to the appropriate tax authority as a result of earning Rewards and remitting any applicable taxes to the appropriate tax authority.  Consult your tax advisor for additional information.
  2. Indemnification and Liability Release.  You agree to indemnify Splitit and its shareholders, affiliates, subsidiaries, bank partners, agents, service providers, and each of their respective employees, officers, directors, agents, and service providers (“Indemnified Parties”) for all claims, demands, damages, losses, liabilities, penalties, costs or expenses,  (“Losses”) caused by, arising out of, in connection with, or related to your or their participation in the Rewards Program and any related services made available to you by Splitit.  Except where prohibited by law, you also agree to release and hold harmless the Indemnified Parties from any and all Losses caused by, arising out of, in connection with, or related to your or their participation in the Rewards Program and any related services made available to you by Splitit.

Except where prohibited by law, the Indemnified Parties shall not be liable for: (a) late, lost, delayed, stolen, or misdirected Rewards, (b) incomplete, unreadable, inaccurate, unintelligible, lost, or misdirected communications, (c) malfunction, failure, or unauthorized access of any communication system, software, or hardware used to provide the Rewards Program, (d) any injuries, losses, or damages of any kind resulting from acceptance, possession, or use of a Reward, or from participation in the Rewards Program, (e) any injuries, losses, or damages of any kind resulting from your purchase of goods or services from a qualifying merchant or (f) any printing, typographical, administrative, or technological errors in any websites or materials associated with the Rewards Program.  Splitit disclaims any liability for damage to any system, software, or device resulting from participating in, accessing, or downloading information in connection with this Rewards Program.  As a condition of entering the Program, and unless prohibited by law, you agree that under no circumstances will you be entitled to any awards for any losses or damages, and you hereby waive all rights to claim punitive, incidental, consequential, and any other damages, and waive any and all rights to have damages multiplied or otherwise increased.  A waiver of rights may not apply to you in your jurisdiction of residence.  Additional rights may be available to you.

  1. Privacy. To participate in the Rewards Program, we may require you to provide us with certain personal information.  Such personal information will be collected, processed, stored, used, and shared in accordance with the Splitit Privacy Policy.
  2. Communications.  You agree that we may communicate with you about this Rewards Program, using electronic means or otherwise, at the contact information you provide in connection with your claim for a Reward.  For purposes of these Terms  only, you expressly authorize Splitit and its affiliates, agents, contractors, collectors, representatives, assigns, and servicers/service providers (collectively, the «Messaging Parties«) to contact you using automatic telephone dialing systems, automated dialer systems, artificial or pre-recorded voice message systems, text messaging systems, and automated e-mail systems for any and all purposes arising out of or relating to these Terms and in order to provide you with information about this Agreement.  You authorize the Messaging Parties to make such contacts using any telephone numbers (including wireless, landline and VOIP numbers) or e-mail addresses you supply to the Messaging Parties in connection with these Terms (or that the Messaging Parties have on file for you, to the extent permitted by law).  You understand that anyone with access to your telephone or e-mail account may listen to or read the messages the Messaging Parties leave or send you, and you agree that the Messaging Parties will have no liability for anyone accessing such messages.  You further understand that, when you receive a telephone call, text message, or e-mail, you may incur a charge from the company that provides you with telecommunications, wireless, and/or Internet services, and you agree that the Messaging Parties will have no liability for such charges.  You expressly authorize the Messaging Parties to monitor and record your calls with the Messaging Parties.  To the extent you have the right under applicable law to revoke this authorization, you agree you may do so, in writing, by contacting Splitit.
  3. Disclaimer.  THE REWARDS PROGRAM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF NON INFRINGEMENT OF THIRD PARTY RIGHTS, TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND FREEDOM FROM COMPUTER VIRUS OR OTHER HARMFUL COMPONENTS.
  4. Cancelling your Membership.  You may cancel your participation in the Rewards Program by contacting us at support@splitit.com or (844) 775-4848.  All pending Rewards will be forfeited and cancelled immediately upon cancellation and may not be reinstated if you choose to reinstate your participation in the Rewards Program at a later date.
